淺談非同質化代幣 – 盧文聰 筆者一向有收藏現代中國藝術家的作品，對近年興起的非同質化代幣（NFT）熱潮，可謂既欣喜又擔心。欣喜的是不少傳統和數碼藝術以NFT的形式開闢新的銷售渠道，一時間大家都對藝術的推廣和創作充滿熱情；擔心的是不少科技精英和年青人都投入熾熱的炒風，將NFT市場的邊界推至以往難以想象的地方。   NFT是一種儲存在區塊鏈上的數碼証書，其代表的資產幾乎沒有限制。大批藝術愛好者交易數碼收藏品。電子遊戲Axie IInfinity有約25萬用戶培育「精靈寶可夢」風格的NFT。NBA以NFT形式出售名為「NBA Top Shot」的明星球員的精釆短片；就連一條別有意義的Twitter貼文也能夠以天價賣出。如今，像OpenSea這類供創作者出售作品的平台越來越多。以太坊區塊鏈上的NFT總價值約為150億美元。   長久以來，一幅數碼圖片可以被分毫不差及無限次地複製和使用，因此它的內在價值有限。NFT讓買家得以擁有一版獨一無二且經過鑒定的藝術品，由此產生了投資價值。然而，老一派的投資者還是滿腹狐疑：買入一幅數碼圖像的NFT究竟能得到什麼？   擁有一項傳統資產通常都會伴隨一套完整的權益。例如你擁有實體的房產或汽車，合法業權會賦予你所有權證明、獨家使用權、更改資產狀態的權力（例如裝修物業或替汽車換輪胎），對他人收取租金的權力及出售資產的權利。   筆者的思考是，NFT可作為分割產權的其中一種新形式。股票是分割產權的典型例子。一般人持有可口可樂公司的股票，不代表擁有一罐可樂或控制公司資產的權力。股票僅代表擁有公司資產淨值的一部份，以及收取股息和在若干投票的權利。在高級金融領域，分割產權更加常見，例如持有石油或小麥的期貨合約，表示有權在特定時期內以指定價格交易，與擁有一桶真正的石油或一噸小麥毫無關係。   同理，NFT就像一項資產的衍生工具合約，並以數碼形式發行。既然區塊鏈可儲存交易記錄，也可以儲存預先設計的產權條款。許多NFT容許購買者以私人方式展示藝術品的數碼版本，但不能將其商業化，例如把畫作印在時裝上販售；也有NFT要求把每次轉售所得分成給創作者。以往只有投資銀行為大企業發行衍生工具，但NFT讓人們以較低成本和高度靈活性推出幾乎任何物件的分割產權許可証。   儲存於區塊鏈上的NFT自有其優勢，例如交易記錄公開，不可更改，讓藝術家更容易從作品中得到報酬，也能夠更準確地紀錄收藏者和追蹤交易。可是，對一般人而言，創建NFT的過程涉及設置電子錢包，把作品轉化為數碼資產，買賣加密貨幣，支付費用（gas fee）等，不算便宜和簡單易用。其次，一些代表NFT的區塊鏈分散儲存在多處地點，要花費大量的運算資源來保持數據同步，使過程極度耗電，這些技術問題正在解決中，也有不同的方案提出，例如「以太坊2.0」有望提高交易數量和能源效率。   其他問題與NFT的本質有關。各式各樣的NFT幾乎無限供應，其中只有一小部分憑着獨特來歷或內容造成了稀缺性和價格暴漲。產權分割實際上使NFT與自身關聯的資產只有微薄的聯繫，致使價值受到質疑，例如一幅數碼畫作的NFT即使已售出，其創作者也可以對原作做出更改。上年一位OpenSea數碼藝術家便把已出售的NFT的相關圖像，故意改為一幅幅地毯照片，以諷刺NFT的價值。他說：「如果有人可以改變、重新連接或摧毀你的財產，那麼在一個高度安全的網絡上創建一個不可偽造的代幣又有什麼意義呢？」   有時候，NFT代表一項現實世界的資產（例如一塊土地），NFT賦予的產權可能與現實中其他合同相衝突，法庭未必會承認和執行NFT內含的協議。另一項讓筆者擔心的是，一些元宇宙使用了與實物資產掛鈎的NFT作為遊戲代幣，實際上將NFT變為籌碼，助長青少年的賭博風氣。   除了藝術品，筆者預計NFT的大規模應用在將來仍有很大空間，尤其是需要可靠地記錄和追溯所有權的用途上。不過，現時NFT的炒風令筆者想起千禧年的互聯網泡沫。那時投資人對互聯網技術陷入瘋狂，當泡沫破滅後，留存的科技公司把技術沉澱，發展出更優良的應用，最終成為現代社會的支柱。相信NFT在淘金熱後也會跟隨這種路徑。   香港特別行政區立法會議員 科技創新界 邱達根

淺談非同質化代幣 – 盧文聰 作者: 盧文聰 香港大學電子商貿及互聯網工程碩士校友會副會長 數碼港創業學會主席   隨著非同質化代幣(Non-Fungible Tokens, NFTs)越來越受歡迎，不論是成年人，學生，甚至退休人士都對這種新興虛擬資產感興趣。今天就為大家介紹一下非同質化代幣的背景，特性，和應用場景。   要了解非同質化代幣，首先要了解非同質化資產(Non-Fungible Assets)，和代幣(Tokens)的概念。同質化資產(Fungible Assets)泛指可以互相替代和兌換並具有同等價值的實體資產，例如法定貨幣。我們可以隨意將港元以等價兌換成其他貨幣，互換過程中不會蒙受經濟損失(在此可忽略交易收費)。再舉一例便是黃金，我們以 市價購入一條足金金條，金條可以隨時以市價換成港元或其他貨幣，這些都是同質化資產的例子。而非同質化資產是不能夠直接互換的資產，例如藝術品或者收藏品。它的價值是由買家給予的，每一項藝術品或者收藏品都有著獨一無二的價值，並不能夠直接互相等價交換。 踏入數碼網絡年代，虛擬資產開始出現，同質化虛擬資產包括虛擬貨幣，例如比特幣(BTC)，以太幣(ETH)及其他各種加密貨幣，它們都具備互相等價交換的特性。而非同質化虛擬資產的例子，例如一些以數碼形式製作的藝術品，包括數碼照片，數碼音樂，數碼影像等。由於上述數碼藝術品只是一個數碼檔案，用戶可以很容易自行複製，最終無法辨識真實的原始作者，因而令數碼藝術品沒有收藏價值。代幣(Tokens)的出現就為數碼藝術品提供了一個技術方案， 讓數碼藝術品變成實體藝術品一樣，具備稀少性和唯一性，從而讓數碼藝術品與實體藝術品一樣變得有收藏價值。而代幣是虛擬貨幣的一種，應用現成的區塊鏈(Blockchain)，及智能合約(SmartContract)來進行帳簿的記錄。例如去年熱議的柴犬幣(SHIB)便是應用以太幣(ETH)的區塊鏈為基礎的代幣。而代幣亦有分為同質化代幣(Fungible Tokens)和非同質化代幣(Non-Fungible Tokens,NFTs)。同質化代幣是可以互相替代和兌換，例如不同用戶各持有一枚柴犬幣，不同用戶的柴犬幣本身並沒有任何區別，它們是具有相同的質量和價值。而非同質化代幣，具有不可分割，獨一無二等特點，與藝術品的屬性一樣。由於它們之間無法相互替換，所以稱為非同質化代幣。而另一個特性，就是同質化代幣可以被分割成很多份交易，而非同質化代幣是不能被分割交易。近日由藝人余文樂推出，發售不到 2 分鐘即宣告售罄並以史上最快時間登上 OpenSea 首位的 ZombieClub Token 便屬於非同質化代幣(Non-Fungible Token, NFT)。 結合區塊鏈的特性，使非同質化代幣成為虛擬資產擁有權的有效憑據，從而令數碼藝術品變得有價值。數碼藝術品的創作者可以把作品以獨一無二的非同質化代幣出售，取得實際回報，而買家作為新的擁有者的紀錄亦會寫進在區塊鏈中。由於非同質化代幣獨一無二的特性，讓數碼藝術品的擁有權變得有經濟價值，這正是非同質化代幣在數碼藝術品市場逐漸普及的原因。總括而言，非同質化代幣的意義在於為虛擬物件資產化及提供流通性，同時為數碼資產的價值提供了一個新的定義。非同質化代幣結合區塊鏈技術，除了可應用在數碼資產之外，實體資產亦可以通過非同質化代幣把資產數碼化，並將擁有權寫進區塊鏈上而進行交易。隨著數碼化技術的應用越來越普及，可以預計非同質化代幣的應用場景也會隨之而增加，最終可望變成虛擬資產擁有權的標準憑據，在將來更有望成為元宇宙經濟下的基礎投資工具。
